General Terms and Conditions (GTC)

1. Scope

1.1 These General Terms and Conditions (“Terms”) apply to the use of the platform Togethina, operated by Partyro UG (haftungsbeschränkt), Wilmersdorfer Str. 25a, 10585 Berlin, Germany (“Togethina”, “we”, “our”, “us”).

1.2 Togethina operates an online platform and mobile application (“Platform”) that allows couples (“Users”, “you”) to discover, personalize, and book experiences offered by independent third-party providers (“Experience Providers”).

1.3 These Terms govern the relationship between you and Togethina regarding the use of the Platform. The contractual relationship concerning the booked experience is formed directly between you and the respective Experience Provider.

2. Subject Matter

2.1 Togethina acts solely as an intermediary, providing a platform for the listing and booking of experiences. We do not own, operate, or control the experiences themselves.

2.2 When you make a booking, Togethina facilitates the transaction between you and the Experience Provider. The experience contract is concluded directly between you and the Experience Provider under the provider’s own terms and conditions.

3. Booking and Contract Formation

3.1 Bookings can be made via the Togethina website or mobile app.

3.2 By completing the checkout and payment process, your booking is immediately confirmed.

3.3 After payment, you will receive a confirmation email with the details of your experience.

3.4 Payments are securely processed, and the collected amount is forwarded to the respective Experience Provider.

4. User Accounts

4.1 You may use Togethina by creating an account to personalize your experience preferences and manage bookings.

4.2 You must be at least 18 years old to use our services.

4.3 You are responsible for maintaining the confidentiality of your login details and for all activities under your account.

4.4 Togethina reserves the right to suspend or terminate accounts in case of misuse or violation of these Terms.

5. Prices and Payments

5.1 All prices are displayed in euros (€) and include VAT where applicable.

5.2 Payments for experiences can be made securely by credit card, debit card.

5.3 All payments are securely processed.

5.4 In some cases, Togethina may charge a service or processing fee for facilitating bookings. Any such fee will be clearly shown before you complete your booking.

5.5 Your payment obligation arises when you complete the booking process and receive a confirmation email.

6. Cancellations, Changes, and Refunds

6.1 Each Experience Provider determines its own cancellation and refund policy, which will be displayed before booking.

6.2 Cancellations must be made in accordance with the Experience Provider’s policy. Togethina may assist in communication but is not responsible for issuing refunds unless explicitly stated.

6.3 If an Experience Provider cancels or reschedules an experience (e.g., due to weather, illness, or safety concerns), you may be offered an alternative date or refund, depending on the provider’s policy.

7. User Obligations and Behavior

7.1 You agree not to misuse the Platform or use it for unlawful purposes.

7.2 You must comply with any safety, eligibility, or participation instructions provided by the Experience Provider.

7.3 You are responsible for ensuring that you and your partner meet any necessary requirements for participation in the selected experience.

8. Liability

8.1 Togethina is not the provider of the booked experiences and is therefore not liable for their execution, quality, safety, or suitability.

8.2 Togethina is liable only for its own intentional or grossly negligent conduct.

8.3 In all other cases, Togethina’s liability is limited to the total amount paid for the respective booking.

8.4 Togethina is not liable for indirect or consequential damages, including loss of enjoyment, profit, or data.

8.5 You acknowledge that the booked experience is provided under the Experience Provider’s own terms and conditions, house rules, and participation requirements, in each case as presented to you prior to checkout. By completing your booking and payment, you expressly represent that you have reviewed those provider terms and accept them as binding, and you agree to observe and comply with them in connection with the experience.

9. Intellectual Property

All content, design, branding, and materials available on the Togethina Platform are the property of Partyro UG (haftungsbeschränkt) or our licensors. Reproduction, modification, or distribution of any material without prior written consent is prohibited.

10. Data Protection

Your personal data is processed in accordance with the General Data Protection Regulation (GDPR) and our Privacy Policy.

We collect and process only the data necessary to provide and improve our services, such as contact details, booking preferences, and payment information.

11. Applicable Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be Berlin, Germany, provided you are a merchant or have no general jurisdiction in Germany.

12. Final Provisions

If any provision of these Terms is or becomes invalid, the validity of the remaining provisions shall remain unaffected. The invalid provision will be replaced by a valid provision that most closely reflects the intent of the original.

Togethina Partner / Experience Provider Terms & Conditions

1. Scope and Definitions

1.1 These Terms and Conditions ("Partner T&Cs") govern the relationship between Togethina, operated by Partyro UG (haftungsbeschränkt), Wilmersdorfer Str. 25a, 10585 Berlin, Germany ("Togethina", "we", "our", "us") and the Partner / Experience Provider ("Partner", "you").

1.2 Definitions:

Platform: Togethina website and mobile application.

Customer: Any person booking an experience via Togethina.

Booking: A confirmed reservation of an experience made by a Customer through Togethina.

Experience: Any activity, tour, or service offered by the Partner via the Platform.

1.3 These Terms govern your obligations as a Partner, including listing experiences, accepting bookings, processing payments, and providing services to Customers.

2. Registration and Partner Obligations

2.1 The Partner must register on Togethina and provide complete, accurate, and up-to-date business and contact information.

2.2 The Partner warrants that it has all necessary legal rights, licenses, permits, and insurance to offer the listed experiences.

2.3 The Partner agrees to comply with all applicable laws, regulations, health and safety standards, and accessibility requirements.

2.4 The Partner must notify Togethina of any changes to contact information, banking details, or operational status promptly.

3. Listing Experiences

3.1 The Partner shall provide accurate, complete, and up-to-date information about each experience, including:

Description, duration, and itinerary

Price, availability, and capacity

Photos, images, or other media

3.2 The Partner is responsible for maintaining the quality of the experience and ensuring that all information complies with legal and safety standards.

3.3 Togethina reserves the right to review, modify, or remove any listing that does not meet quality standards or violates laws or these Terms.

4. Bookings and Contract Formation

4.1 Customers make bookings via Togethina, and each booking is immediately confirmed after the customer completes checkout and payment.

4.2 By accepting to list experiences on Togethina, the Partner agrees to honor all confirmed bookings.

4.3 The Partner acknowledges that Togethina facilitates the booking process but is not a party to the contract between the Partner and the Customer.

4.4 The Partner is responsible for providing the experience as described, at the agreed time, date, and location.

5. Payments

5.1 All customer payments are securely processed via Stripe.

5.2 Togethina collects payments on behalf of the Partner and deducts a commission from the total booking amount. The standard commission rate is 15%, unless a different rate has been individually agreed upon in writing between Togethina and the Partner ("Agreed Commission Rate"). Without prejudice to the foregoing, a fixed booking and payment-processing fee of EUR 0.50 (fifty euro cents) shall apply to each confirmed booking; such amount shall be retained by Togethina in addition to the commission and shall accrue in every case, irrespective of the Agreed Commission Rate or any other circumstances.

5.3 Payouts to the Partner will occur on a regular schedule (e.g., weekly or monthly) based on the total amount collected after deducting the Agreed Commission Rate, the fixed fee referred to in Section 5.2 per applicable booking, and any refunds.

5.4 The Partner agrees to comply with Togethina's refund policies toward Customers. In case of cancellations, refunds, or chargebacks, Togethina may adjust the payout accordingly.

5.5 Togethina does not provide credit or advance payments. Payments are dependent on customer transactions and any necessary adjustments.

6. Cancellations and Refunds

6.1 The Partner must adhere to Togethina's customer-facing cancellation policies.

6.2 If the Partner fails to provide a booked experience, Togethina may offer a full refund to the Customer and deduct the refunded amount from the Partner's payout.

6.3 Any modifications or cancellations by the Partner must be communicated to Togethina immediately to allow timely notification to Customers.

7. Partner Responsibilities and Warranties

7.1 The Partner warrants that experiences will be safe, of good quality, and as described.

7.2 The Partner is responsible for all taxes, fees, and insurance required to operate the experience.

7.3 The Partner shall indemnify and hold Togethina harmless against any claims, losses, or damages arising from the Partner's negligence, misconduct, or failure to provide the experience.

8. Intellectual Property

8.1 The Partner grants Togethina a worldwide, royalty-free, non-exclusive license to use all materials provided for listings (text, images, logos) for the purpose of marketing, promotion, and facilitating bookings.

8.2 All other intellectual property rights remain with the Partner or their licensors.

9. Liability

9.1 Togethina is not liable for the performance, quality, safety, or compliance of any experience provided by the Partner.

9.2 Togethina's liability is limited to gross negligence or intentional misconduct.

9.3 The Partner agrees that Togethina shall not be liable for indirect, consequential, or incidental damages arising from bookings, Customer complaints, or any acts of the Partner.

10. Termination

10.1 Togethina may suspend or terminate the Partner's account with immediate effect in cases of breach of these Terms, fraud, illegal activity, or safety concerns.

10.2 The Partner may terminate their participation by providing written notice to Togethina, subject to completion of any pending bookings.

11. Data Protection

11.1 The Partner's personal data is processed in accordance with GDPR.

11.2 The Partner consents to Togethina using their data for account management, payment processing, and communications regarding bookings and operations.

12. Governing Law and Jurisdiction

12.1 These Terms are governed by the laws of the Federal Republic of Germany.

12.2 The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be Berlin, Germany, provided the Partner is a merchant or has no general jurisdiction in Germany.
